BUSM060: CORPORATE GOVERNANCE
Module description
Over the last two decades, there has been a growing interest in corporate governance, which has
brought back the debates around the nature of corporations, the role, and duties of corporate
managers and the goal of corporate activities and the interests in which corporations should be
run. To explore these debates, this module introduces students a number of key topics in
corporate governance theory, research and practice (including associated reporting and
regulation) to enable them to read and criticise relevant academic literature and to develop their
ability to suggest potential areas for development. Key topics covered in the module include
developments in corporate governance in the early 21st century, theories of corporate
governance, the regulatory framework, shareholders and stakeholders, institutional investors,
socially responsible investments, board of directors (including its function, effectiveness and
evaluation) and corporate governance in Europe.
Organisation of module
The module will be delivered in weekly mode. Students will have a lecture and a seminar every
week (3 hours in total). There will be no lectures & seminars in Week 7 (Reading Week).
Aims
This module introduces students to key theories, concepts and issues in corporate governance. It
explores corporate governance critically as an embedded practice and provides insights into how
cultures and developments in local contexts have impacted upon and shaped the development of
corporate governance systems and practices, and how these local corporate governance systems

and practices are challenged by globalisation. Within this broad framework, case studies provide
detailed insights into specific aspects of corporate governance.

By the end of this module, students should be able to:

develop ideas for research in corporate governance.

Critically assess the role of corporate governance as a means of accountability in
organisations and society.
Summarise the developments in corporate governance and recognise the reasons for these
developments in a global context.
Evaluate the impact that changes in local corporate governance practices can have on the
well-being of people and the planet.

Critically engage with the literature on corporate governance.
Evaluate, analyse and integrate information from a variety of sources.
Communicate different ideas and views effectively (in oral and written form).

Feedback
You will be given feedback throughout the module. I will provide a variety of individual responses,
comments, advice and suggestions on your contributions in class (such as your own questions,
answers to questions I have asked, contributions to discussion, your presentations in class, etc.). The
purpose of this feedback, which I will be giving orally, is to enable you to improve your learning, to
help you to identify your strengths and weaknesses and to work on them. We call this “formative”
feedback, and we regard it as a very important part of the teaching and learning process.
Bear in mind too that the responses you receive from your fellow students in class when they hear
your presentations or your contributions to discussions – we call this ‘peer feedback’. Peer

feedback is an important element of your learning as it often provides valuable comments on how

Additional information regarding assessment details:
You will have a coursework brief posted on the QMplus in the first week of Semester B. The word
count for this assignment is 2,000 words. This does not include the list of references and/or the
bibliography. Marks may be deducted if you exceed the stated word count.
Assessment for re-sit students
If you fail the module overall, you will have the option to re-sit the failed assessment components
at the next available opportunity. Students who are required to re-sit will be informed of re-sit
examination dates and/or resubmission dates for assignments following the Exam Board meeting
in June 2021.
